By accessing or using services provided by PASMA ("PASMA," "we," "us," or "our"), you agree to these Terms and our Privacy Policy. If you use PASMA for a company or other organization, you represent that you are authorized to act for that organization.
2. Company accounts and user roles
- Users must provide accurate account and company information.
- Credentials must be protected and may not be shared with unauthorized people.
- Companies are responsible for activity performed by their authorized users.
- Company administrators are responsible for removing users who should no longer have access.
- Users must remain within the permissions assigned by their company and PASMA.

3. Catalog and product information
Company catalogs may include negotiated prices, quantities, availability, product descriptions, images, lead times, and customer notes. We aim to keep this information accurate, but specifications, packaging, availability, supplier terms, taxes, and delivery timing may change.
Final specifications, quantities, prices, and commercial terms are those shown in the applicable quotation, order confirmation, invoice, or signed agreement.
4. Purchase requests and accepted orders
A purchase request submitted through PASMA is a request for review and does not by itself create an accepted order. Requests remain subject to authority checks, availability, pricing confirmation, payment or credit terms, and written acceptance by PASMA.
Cancellation, modification, return, replacement, and refund rights depend on the applicable written commercial terms and whether sourcing, preparation, shipment, or fulfillment has begun.
5. Pricing, taxes, invoices, and payment
- Prices may be company-specific and may change when a catalog or quotation is updated.
- Prices may exclude taxes, duties, delivery, handling, insurance, or other charges unless stated otherwise.
- Valid invoices must be paid according to the stated or agreed payment terms.
- PASMA may suspend new requests or fulfillment when invoices are overdue or agreed credit limits are exceeded.
6. Delivery, inspection, and acceptance
Delivery dates and lead times are estimates unless expressly confirmed as binding in writing. Delays may occur because of supplier, transportation, customs, weather, infrastructure, force-majeure, or other events outside reasonable control.
The receiving company should inspect deliveries promptly and report shortages, visible damage, or material discrepancies within the period stated in the applicable order or invoice terms.
7. Acceptable use
You must not:
- Use PASMA for unlawful, fraudulent, deceptive, or unauthorized activity.
- Submit false identity, company, payment, delivery, or procurement information.
- Attempt to access another company's accounts, catalogs, requests, or records.
- Interfere with authentication, security, networks, or service availability.
- Upload malicious code or scrape, probe, or overload the service without authorization.
8. Intellectual property and confidentiality
PASMA and its licensors retain rights in the website, portal, software, branding, designs, text, databases, and workflows. Authorized users receive a limited, revocable right to use the service for their organization's internal procurement activity.
Company-specific prices, catalogs, account records, internal notes, and non-public commercial information may be confidential and must be used only for authorized business purposes.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, the digital service is provided on an "as available" basis. PASMA does not promise uninterrupted or error-free operation or that every feature will be suitable for every business purpose.
To the maximum extent permitted by law, PASMA is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or opportunities. Nothing excludes liability that cannot legally be excluded. A signed company agreement controls over inconsistent website terms.
10. Suspension and termination
PASMA may suspend or restrict access to protect accounts, investigate suspected misuse, address non-payment, perform maintenance, comply with law, or prevent harm. Access may be terminated for a material or repeated breach of these Terms.
11. Governing law and disputes
